Sanlorenzo has finalised its takeover of its Asia-Pacific dealer Simpson Marine in a multi-million-dollar deal.

Italian luxury boatbuilder Sanlorenzo has signed a binding share purchase agreement to acquire 95 percent of the share capital of Simpson Marine Limited from founder Mike Simpson.

The deal, signed on 7 December 2023, involves a payment of US$10 million, plus an earn-out of up to US$7 million, calculated on the net profit for the 2023 fiscal year, both paid with Sanlorenzo’s cash on hand.

Before the Sanlorenzo takeover, Simpson Marine Limited will make a distribution from retained earnings in favour of Mike Simpson.

Simpson Marine Group, which has represented Sanlorenzo in Asia since 2015, has been operating for 40 years as a major yacht sales and service company throughout the Asia-Pacific region. The takeover will allow Sanlorenzo to establish a direct presence in this strategic region, further developing the experience cumulated over decades by Simpson Marine.

The transaction is expected to close in the first quarter of 2024. The law firm Musumeci, Altara, Desana e Associati assisted Sanlorenzo with the negotiation of contractual aspects, and the firm Howse Williams assisted Mike Simpson.
